Terms of Service

These Terms govern your use of Banyan and the products under the Banyan umbrella — Canopy, Outpilot, and Herald — operated by CodeNicely Software Services LLP ("we", "us"). By signing up or using Banyan, you agree to these Terms.
1. Your account
- You must be at least 18 years old (or the age of majority in your jurisdiction).
- You're responsible for keeping your password and any connected accounts (LinkedIn, mailbox) secure.
- You're responsible for activity on your account, including that of teammates you add.
2. Acceptable use
You agree not to use Banyan to:
- Send spam, scams, harassment, or content that violates LinkedIn's, Google's, Microsoft's, or any other connected platform's Terms.
- Send unsolicited bulk email outside the limits of CAN-SPAM, GDPR, or India's IT Rules. Herald requires a valid physical postal address and a one-click unsubscribe in every campaign.
- Scrape data at a rate or scale that exceeds normal product use.
- Reverse-engineer, resell, or sublicense the Banyan service.
- Use the AI features to generate hate speech, deceptive content, or content that impersonates real people without consent.
We reserve the right to suspend or terminate accounts that violate these rules.
3. LinkedIn and email integrations
Outpilot and Canopy interact with LinkedIn under your account. We use Unipile and LinkedIn's official OAuth where available. You are responsible for staying within LinkedIn's daily activity limits — Banyan applies safety throttles, but ultimate compliance is yours. The same applies to email volume and reputation when using Herald with your Google or Microsoft mailbox.
4. Subscriptions and billing
- Banyan plans are billed in advance — monthly, quarterly, or yearly — through Stripe.
- Trials, when offered, convert to paid at the end of the trial period unless cancelled.
- You can cancel any time from the Billing settings; cancellation takes effect at the end of the current period.
- Refunds are at our discretion. We do not refund partial periods.
- Taxes (GST in India, VAT in the EU, etc.) are added where applicable.
5. Your content
You own everything you bring into Banyan — drafts, posts, lead lists, campaigns, replies, etc. By using Banyan, you grant us a limited, worldwide, non-exclusive licence to host, process, and display that content solely to provide the service. We do not use your content to train third-party AI models.
6. Service changes and uptime
Banyan is a SaaS product under active development. We may add, remove, or change features. We aim for 99.5% monthly uptime but do not guarantee uninterrupted availability. Planned maintenance is announced in-app where possible.
7. Termination
- You can delete your account at any time — see our Account Deletion page.
- We can suspend or terminate accounts that violate these Terms or applicable law, with notice where reasonable.
- On termination, your data is deleted per our Privacy Policy.
8. Disclaimers and limits
Banyan is provided "as is". To the maximum extent permitted by law, our total liability for any claim arising out of these Terms is limited to the amount you paid us in the 12 months before the claim.
9. Governing law
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.
